1. Acceptance of Terms

By accessing or using EduEval ("the Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization (such as a school or district), you represent that you have the authority to bind that organization to these terms.

2. Description of Service

EduEval is a cloud-based educator observation and evaluation platform designed for schools and districts. The Service enables administrators to conduct classroom observations, document evidence, provide feedback, and track teacher professional development.

3. User Accounts

Account Creation: Accounts are created by organization administrators. You are responsible for maintaining the confidentiality of your login credentials.

Account Security: You must immediately notify us of any unauthorized use of your account. We are not liable for losses arising from unauthorized account access.

Accurate Information: You agree to provide accurate and complete information when creating your account and to keep this information up to date.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Use the Service in any way that violates applicable laws or regulations
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or servers
  • Transmit viruses, malware, or other malicious code
  • Use the Service to harass, abuse, or harm others
  • Share your account credentials with unauthorized individuals
  • Use automated systems to access the Service without permission
  • Reverse engineer or attempt to extract the source code of the Service

5. Data Ownership and Rights

Your Data: You retain all rights to the observation data, feedback, and other content you create using the Service. We do not claim ownership of your data.

License to Us: By using the Service, you grant us a limited license to store, process, and display your data solely to provide the Service to you.

Our Intellectual Property: The Service, including its design, features, and underlying technology, is protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.

6. Subscription and Payment

Free Tier: A limited free tier is available with restricted features and usage limits.

Paid Plans: Paid subscription plans offer additional features and higher limits. Subscription fees are billed in advance on a monthly or annual basis.

Cancellation: You may cancel your subscription at any time. Access will continue until the end of the current billing period. We do not provide refunds for partial billing periods.

Price Changes: We may change subscription prices with 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the data practices described in the Privacy Policy.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOU USE THE SERVICE AT YOUR OWN RISK.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

10. Indemnification

You agree to indemnify and hold harmless EduEval and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising from your use of the Service or violation of these Terms.

11. Service Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We will make reasonable efforts to provide advance notice of significant changes that affect your use of the Service.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately. Organization administrators may request data export before account termination.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Rhode Island, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Rhode Island.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.
